New requirements for representing commercial companies in Nicaragua

Published in La Gaceta on June 19, 2026, Law 1282 introduces significant changes to the representation of partners, shareholders and members of commercial companies.

The key change

Every power of attorney for representation must be registered with the corresponding Public Real Estate and Commercial Registry in order to have legal effect.

Consequences of non-compliance

  • ❌ The power of attorney will have no effect before the company or third parties.
  • ❌ The Commercial Registry may refuse to register the resolutions adopted.
  • ❌ The company will have to update the Beneficial Ownership Registry.
  • ❌ It will be impossible to register acts or contracts executed by the company.
